The Souldeep Creator and Promoter Program ("Program") enables participants ("Creators") to earn income from the AI robots they create and allows participants ("Promoters") to earn rewards by introducing Souldeep to new users. When other users pay to access or send virtual gifts to your AI robot, or when your referrals bring in new users who make payments on Souldeep, you'll receive a portion of that payment.

To be eligible for Creator or Promoter Program, you must meet our minimum application requirements:

• (1) You must be 18 years or older.
• (2) You must connect a verified【Pagsmile】account.
• (3) You must reside in a country in which Program is available.
• (4) You must have a verified email address.
• (5) You must be in good standing with Souldeep, which means that:
  1. a. You have not repeatedly violated the Souldeep Terms of Service or the rules of
  2. b. You have not previously been removed as a Creator or Promoter on Souldeep for violations of any of our policies or guidelines.

The revenue generated by the AI robot you create on Souldeep, after deducting our costs and payment service provider fees, will be allocated to you as a Creator based on the following Sharing Ratio :

You, as a Promoter, will receive a commission from the first payment made by users referred by you, provided that these users complete their payment within 14 days after their first visit to Souldeep. Please note that the Share Ratio of the commission will vary based on different payment types, as outlined below.

Creators may determine the prices for unlocking their AI robots and gifts by selecting from the pricing range provided by Souldeep. The chosen pricing directly influences the fees paid by users for accessing or tipping these AI robots.

• (1) After joining the Program, you need to complete your account setup on 【Pagsmile】 to secure your payments. You'll then proceed to the Program page and follow the instructions to link up with our payment processor. All payments will flow through your 【Pagsmile】 account.
• (2) If you qualify for the Program and maintain good standing, the corresponding payment amount will be visible in your "Available Withdrawable Earnings" 30 business days after users make payments for your AI robots. You can initiate a withdrawal request if your Available Withdrawable Earnings balance exceeds $50, with a minimum transaction amount set at $50. Once your withdrawal application is approved, we will promptly disburse the requested funds to you. Withdrawal requests are accepted on the 15th of each month.
• (3) After the payout processing is complete, your funds typically take【10】business days to appear in your bank account. In some cases, this period may extend to a maximum of 【30】 business days.
• (4) When a purchase undergoes a chargeback or refund from users, we may deduct the corresponding amount from your estimated revenue share earnings. Souldeep reserves the right to charge you for fees related to chargebacks and refunds owed by the third-party payment platform. Furthermore, we may recoup any associated fees from you.
• (5) If your AI robot violates any applicable laws, regulations, or our policies, we reserve the right to terminate the monetization functionality of such AI robot and retain the discretion to remove it at any time.
• (6) After you upload a new AI robot or update an existing one, we will conduct a review within 【5】 business days. If such robot fails to pass the review, we retain the right to deduct the entire earnings generated by the AI robot during the review period. If these earnings have already been withdrawn, deductions will be applied to your subsequent earnings, if any, and the earnings generated by other AI robots created by you.
• (7) Your earnings under this Program are calculated using our tracking system. The estimated earnings visible in your account might vary from the actual earnings due to adjustments for refunds, taxes, or fraudulent activities. The final earnings are based on the received amount. Unwithdrawn earnings will be carried over to the following month. We retain the right to adjust or offset subsequent payments if an over-payment occurs.
• (8) While we reserve the right to change payment processors, we will provide prior notice. There might be applicable fees for payments processed by the payment processor. By enrolling in this Program, you agree to the payment processor's applicable terms, which may be subject to periodic revisions.
• (9) You are responsible for reporting and remitting any applicable taxes on potential income earned from this Program. You also agree to furnish additional personal information as necessary to comply with the relevant legal obligations for receiving payments.

• (1) You shall not:
  1. a. Generate any material, which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.
  2. b. Generate inappropriate language or content that promotes sexually explicit or pornographic material, violence, bigotry, racism, or discrimination against any individual based on race, gender, religion, nationality, disability, sexual orientation or age.
  3. c. Make any comment or post any User Content that in any way promotes unsafe or illegal activities, or advocate, promote or assist any act that could lead to an unsafe or unlawful situation involving Souldeep’s consumers or other individuals.
  4. d. Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  5. e. Identify any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission, and/or violates any law.
  6. f. Perpetrate any fraud, impersonate any person, or misrepresent its affiliation with Souldeep or any other person or organization.
  7. g. Engage in or create any unlawful gambling, sweepstakes, or pyramid scheme in connection with the Program.
  8. h. Unlawfully gather information about purchasers or potential purchasers.
  9. i. Use the Creator Code to disseminate any computer viruses or other software that may damage the property of another.
  10. j. Misrepresent or embellish Souldeep’s relationship with you as a Creator, including stating, whether expressly or implicitly, that Souldeep supports, sponsors, or endorses the Creator content, except as expressly permitted by this Agreement.
  11. k. Violate any applicable laws, ordinances, regulations, codes of practice, industry standards, judgments, decisions, guidelines, or permits by virtue of participation in this Program.
  12. m. Impersonate or confuse another person's account nickname, avatar, function introduction or published content, etc., or impersonating or using another person's name.
  13. l. Without Souldeep's written permission, enter into any form of agreement, promise or confirmation with a third party, posting on the Souldeep any content that competes with Souldeep.
  14. n. Create fake followers or engagement.
  15. o. Engage in any act that leads or may lead to disputes, controversies or litigation between Souldeep and third parties.
• (2) If you violate the requirements described and referenced on this page, depending on the context, severity, and history of the violation, we may:
  1. a. restrict the visibility of your account to other users.
  2. b. temporarily or permanently revoke your ability to earn revenue through our Service, clear your earnings balance, and prevent withdrawal.
  3. c. temporarily or permanently revoke your access to our Service.
  4. d. remove or request the removal of violating content.
  5. e. hide violating content while awaiting its removal.
• (3) If we detect that your account may be compromised, we will disable monetization features temporarily until your account is restored.
